In short
- Projects are quoted in writing, and we do not start extra work without your approval.
- Support plans run month to month, and either of us can cancel with 30 days’ notice.
- Accounts and logins we set up for your business are in your name and belong to you.
- If something we did is not right, tell us within 30 days and we will fix it at no charge.
- A signed proposal or agreement with us takes priority over these terms.
01About these terms
These Terms of Service (“Terms”) are an agreement between you and Highview Logic, LLC (“Highview Logic,” “we,” “us,” or “our”). They apply when you use highviewlogic.com and when we provide services to you, including business technology, networking, onsite service, ongoing support, integrations, and custom software. By using our website or services, you agree to these Terms.
If you use our services on behalf of a business, “you” means that business, and you confirm that you have the authority to accept these Terms for it.
Many engagements also have a written quote, proposal, statement of work, or service agreement (an “Agreement”). If an Agreement conflicts with these Terms, the Agreement controls. Our Privacy Policy explains how we handle personal information.
02Using our website
You may use our website for any lawful purpose. Please do not try to disrupt it, gain unauthorized access to it, or use automated tools in a way that puts an unreasonable load on it.
The content on our website, including its text, graphics, and the Highview Logic name and logo, belongs to us. You may not copy or reuse it for commercial purposes without our permission.
Information on our website is general. It is not advice for your specific situation, and it may change without notice. Service descriptions are not an offer; the details of any work are set by a written quote or Agreement.
03Quotes and project work
- Discovery calls are free and do not commit you to anything.
- Before starting project work, we give you a written quote or proposal that describes the scope, what is not included, the timeline, and the price. Unless it says otherwise, a quote is valid for 30 days.
- A fixed-price quote covers the scope as written. If you ask for changes, or we find conditions we could not reasonably have known about, such as hidden cabling problems or failing equipment, we will tell you the added cost and wait for your approval before doing the extra work.
- Hardware is quoted at our cost plus the margin stated in the quote. Supplier prices and availability can change before an order is placed; if that affects your quote, we will check with you before ordering.
- For larger projects, or when hardware must be ordered, we may ask for a deposit or for payment for the hardware before we order it.
04Support plans
- Support plans are billed monthly in advance at the flat rate in your Agreement, and cover the devices, users, and services it lists.
- Work outside your plan, such as new projects or hardware, is quoted separately. We will tell you before doing anything that would be billed beyond your plan.
- Plans continue month to month unless your Agreement sets a different term. Either of us may cancel with 30 days’ written notice, and email counts.
- Pay-as-you-go support is billed at our current rates for the time spent. After-hours and emergency work may carry a different rate, which we will tell you before starting.
- Our business hours are Monday to Friday, 9am to 5pm Eastern, excluding holidays. We aim to respond to requests the same business day. Response times are goals rather than guarantees unless your Agreement sets a specific service level.
05Payment
- Invoices are due within 15 days of the invoice date unless your Agreement says otherwise.
- Prices do not include sales tax or other applicable taxes, which are added where required.
- If an invoice is more than 30 days past due, we may pause non-urgent work until the account is current. We will tell you before we do.
- If you believe an invoice is wrong, tell us within 30 days of the invoice date so we can review it, and pay any part that is not in question.
06Hardware, software, and third-party services
- Ownership of hardware passes to you once it is paid for in full.
- Hardware and software come with their manufacturers’ warranties, which pass to you. We do not add our own warranty to third-party products. We will help with warranty claims, and that time is billed at our normal rates unless your support plan covers it.
- Third-party software and services, such as Microsoft 365, point-of-sale platforms, and internet service, are provided under their own terms, which you are responsible for accepting and following. We are not responsible for their outages, changes, price increases, or discontinuation.
- Returns and cancellations of ordered products are subject to the supplier’s policies, including any restocking fees. Special-order items may not be returnable.
07Your responsibilities
So that we can do good work, you agree to:
- Give us accurate information, reasonable access to your premises and systems, and a contact who can make decisions.
- Make sure you have the right to let us access the systems, accounts, and data involved, and that the software you use is properly licensed.
- Back up important data before we begin work, unless backups are part of the services we provide you.
- Keep your own passwords and devices secure, and tell us promptly about changes or problems that affect our work, such as staff leaving or a suspected security incident.
- Provide a safe place to work during onsite visits.
- Give us at least one business day’s notice to reschedule an onsite visit. If a visit is canceled with less notice, or we cannot get access when we arrive, we may bill for the time reserved.
08Remote access and monitoring
Many of our services rely on monitoring and remote support software. By asking us to provide these services, you authorize us to install that software on the devices you designate and to connect to them to perform the services.
- We connect only to do the work you asked for or that your plan covers, and we keep a record of remote sessions.
- You are responsible for informing your staff and getting any consent the law requires before we monitor or access the devices you designate.
- When services end, we will remove our software or help you remove it.
09Accounts and logins
Accounts, licenses, and domain names that we set up for your business are registered in your name whenever the provider allows it, and they belong to you. We store the credentials we need for the work securely and hand them over, with documentation for your systems, whenever you ask or when our services end.
10Custom software and work product
- Once you have paid in full, you own the custom code, configurations, reports, and documentation we create specifically for you.
- We keep ownership of tools, code libraries, templates, and know-how we developed before or apart from your project, even if we use them in your work. You receive a permanent, royalty-free license to use them as part of what we delivered to you.
- Open-source and other third-party components are provided under their own licenses.
- We may reuse the general skills and knowledge we gain from our work, but never your confidential information.
11Confidentiality
We keep your non-public business information confidential, including your data, credentials, network details, and business plans. We use it only to provide services to you and share it only as described in our Privacy Policy or as you direct. We ask the same of you for our non-public pricing and methods.
These obligations do not cover information that becomes public through no fault of the party receiving it, or that must be disclosed by law, in which case we will notify each other first where allowed. They continue after our services end.
12Our workmanship warranty
We perform our services in a professional and workmanlike manner, consistent with generally accepted industry practices. If something we did is not right, tell us within 30 days of completing the work and we will correct it at no charge. If we cannot correct it, we will refund what you paid for the part of the work that was not right. This is your exclusive remedy for a breach of this warranty.
Except as stated in these Terms or an Agreement, our website and services are provided “as is,” and to the extent the law allows, we disclaim all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Technology fails and threats change, so we cannot promise that any system will be uninterrupted, error-free, or completely secure, or that data will never be lost.
13Limitation of liability
To the extent the law allows:
- Neither of us is liable to the other for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or business opportunities, even if told they were possible.
- We are not liable for lost or corrupted data, except where it results from our failure to perform backup services we agreed in writing to provide. In that case, our responsibility is to make reasonable efforts to restore the data from the available backups.
- Our total liability for all claims relating to our website or services is limited to the amount you paid us for the services giving rise to the claim during the 12 months before the claim arose.
These limits do not apply to liability that the law does not allow to be limited, such as liability for gross negligence or willful misconduct.
14Indemnification
You agree to defend, indemnify, and hold us harmless against third-party claims, and the related losses and reasonable legal fees, arising from software, content, or data you provide or ask us to use without the right to do so; from your violation of these Terms or the law; or from our monitoring of or access to devices you designated where notice or consent the law required was not given. We will do the same for you against third-party claims arising from our gross negligence or willful misconduct.
15Ending services
Either of us may end services as described in an Agreement or, if none applies, with 30 days’ written notice. We may end services sooner if invoices remain unpaid after notice, or if continuing would require us to act unlawfully or unsafely.
When services end, you pay for work performed through the end date and for hardware or licenses already ordered that cannot be canceled. We will hand over your credentials, documentation, and data, and remove our software as described above. Sections that by their nature should continue, including payment, confidentiality, work product, warranty disclaimers, limitation of liability, indemnification, and disputes, survive.
16Disputes and governing law
If a problem comes up, please contact us first. Most issues can be settled with a conversation, and we will each work in good faith for at least 30 days to resolve a dispute before either of us goes to court.
These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-laws rules. Any lawsuit relating to these Terms or our services must be brought in the state or federal courts located in Virginia, and we both consent to their jurisdiction.
17General
- Events beyond our control. Neither of us is responsible for delays or failures caused by events beyond reasonable control, such as power or internet outages, vendor or carrier failures, supply shortages, severe weather, or natural disasters. This does not excuse payment for work already performed.
- Independent contractor. We are an independent contractor, not your employee, partner, or agent.
- Assignment. Neither of us may transfer these Terms without the other’s consent, except as part of a merger or sale of the business.
- Notices. Notices under these Terms may be sent by email to the addresses we each use for the engagement. Ours is support@highviewlogic.com.
- Entire agreement. These Terms, together with any Agreement and our Privacy Policy, are the entire agreement between us on their subject and replace earlier discussions.
- Severability and waiver. If any part of these Terms is found unenforceable, the rest stays in effect. Not enforcing a provision is not a waiver of it.
18Changes to these terms
We may update these Terms from time to time and will post the new version here with a new date. For active clients, significant changes take effect 30 days after we notify you by email, and you may end services before then if you do not agree. Changes do not affect quotes you have already accepted or work already performed.
